These Terms & Conditions ("Terms") govern your access to and use of the EarFill website and services provided by SK Health Technologies LLC, a Delaware limited liability company doing business as EarFill ("EarFill," "we," "our," or "us"). By using our website or services, you agree to these Terms.

1. Business Information

These services are provided by SK Health Technologies LLC (d/b/a EarFill), a Delaware limited liability company located at 2810 N Church St STE 89822, Wilmington, DE 19802. You can reach us at hello@earfill.com. This section establishes the legal entity entering into this agreement.

2. Services

EarFill provides AI-assisted insurance eligibility and benefits verification, claim status tracking, denial management, and related automation and software services for audiology and hearing-care practices. All services are provided on a best-effort basis in accordance with the agreed scope.

3. Eligibility

You must be at least 18 years old, have the legal authority to enter into this agreement, and use our services for lawful business purposes only. Our services are intended for healthcare providers and their authorized staff in the United States.

4. Client Responsibilities

You agree to provide accurate information, respond promptly to service requests, and ensure that your use of our services and any content or data you submit complies with applicable laws, including obtaining any patient authorizations or consents required before submitting patient information for verification. We are not responsible for delays or errors caused by incomplete or inaccurate information provided by you.

5. Payments & Billing

Fees are communicated before services begin and are payable according to the agreed schedule or plan. Late payments may result in suspension of services. All payments are non-refundable unless otherwise stated in writing. Any free trial or complimentary verifications are offered at our discretion and on the terms stated at the time of the offer.

6. No Guaranteed Results

EarFill does not guarantee specific results, including but not limited to verification outcomes, claim approvals, reimbursement amounts, revenue, or time savings. Coverage determinations and payment decisions are made by payers and other third parties and depend on multiple external factors beyond our control.

7. Intellectual Property

We retain all ownership of our tools, software, processes, and automation systems. You retain ownership of your original content and data. You may not resell, redistribute, or reverse engineer our systems without our written permission.

8. Confidentiality

Both parties agree to protect the non-public business information shared during the engagement. We do not share your personal data (name, email, phone) with third parties for their own marketing, except when required by law or to protect rights, safety, or property. Protected health information is governed by the BAA, which controls over this section for PHI.

9. Third-Party Tools & Platforms

Our services may integrate or rely on third-party platforms (for example, payers, clearinghouses, telephony providers, and CRM tools). We assume no liability for downtime, data loss, or policy changes caused by these outside providers.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability to you is limited to the amount you paid for services in the last 30 days. We are not liable for any indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify and hold harmless SK Health Technologies LLC from any claims arising from your misuse of the services, violation of law, breach of third-party rights, or the content or data you provide.

12. Termination

We reserve the right to suspend or terminate access for violations of these Terms, overdue payments, or unlawful activity. You may terminate by providing written notice, subject to any active billing commitments.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except to the extent preempted by federal law. The parties consent to the jurisdiction of the state and federal courts located in Delaware.

14. Changes to Terms

We may update these Terms from time to time. Continued use of our website or services constitutes acceptance of the revised Terms.

15. SMS Terms & Conditions

If you opt in, you may receive SMS/text messages from SK Health Technologies LLC (EarFill) related to demo scheduling, booking links, account and service updates, promotions, and other communications you request. Opting in is optional and is not a condition of purchase.

• Message and data rates may apply.
• Reply STOP at any time to unsubscribe. After you reply STOP, you may receive a final confirmation message, and no further SMS will be sent.
• Reply HELP for assistance, or contact us at hello@earfill.com.
• Carriers are not liable for delayed or undelivered messages.
• No mobile information will be shared with third parties/affiliates for marketing/promotional purposes.
